Terms of Service

By accessing or using the Exodara platform and website (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, do not use the Service.

Exodara provides an AI-powered business automation platform for service businesses, including but not limited to: AI phone receptionist services, customer relationship management (CRM) tools, outbound lead generation and messaging sequences, Google review management, and managed advertising (Google Ads & Meta Ads). The specific features available to you depend on the subscription plan(s) you have purchased.

To use the Service you must create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at admin@exodara.io if you believe your account has been compromised. We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

You may cancel your subscription at any time through the billing portal in your dashboard or by contacting us. Cancellation takes effect at the end of your current billing period; you will retain access to the Service until that date.

Refund policy: Monthly subscription fees are non-refundable once a billing period has begun. One-time onboarding fees are non-refundable. If we are unable to deliver the Service due to a fault on our part, we will work with you in good faith to provide a credit or refund at our discretion.

You agree not to use the Service to:

• Violate any applicable law or regulation, including anti-spam laws (CASL, CAN-SPAM).
• Send unsolicited messages to individuals who have not consented to receive communications from your business.
• Harass, threaten, defame, or defraud any person.
• Distribute malware, phishing content, or any harmful code.
• Attempt to gain unauthorised access to our systems or another user's account.
• Resell or sublicense the Service without our written consent.
• Use the Service for any purpose that competes with Exodara's business without prior written agreement.

We reserve the right to suspend or terminate your account immediately and without notice if we determine, at our sole discretion, that you have violated this section.

The Service and all associated content, trademarks, and technology are owned by or licensed to Exodara. These Terms do not grant you any intellectual property rights in the Service beyond the limited right to use it as described herein.

You retain ownership of any data you upload to the Service ("Customer Data"). You grant us a limited, non-exclusive licence to use Customer Data solely to operate and improve the Service as described in our Privacy Policy. We do not claim ownership of your customer lists, business information, or any content you provide.

The Service integrates with third-party providers including Twilio, Vapi, Stripe, Google, and Meta. Your use of these integrations is subject to the respective third-party terms of service. Exodara is not responsible for the availability, accuracy, or actions of third-party services.

We strive to maintain high availability but do not guarantee uninterrupted access. The Service is provided on an "as is" and "as available" basis. We may perform scheduled maintenance with reasonable advance notice where possible, and may suspend the Service for emergency maintenance without notice.

To the maximum extent permitted by applicable law, Exodara and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising under these Terms shall not exceed the total fees you paid to Exodara in the three months preceding the event giving rise to the claim.

You agree to indemnify and hold harmless Exodara and its affiliates from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Alberta, Canada.

We reserve the right to update these Terms at any time. We will provide at least 14 days' notice of material changes by email or a prominent notice within the Service. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes.
